Clients must notify the Company promptly of material changes to their ownership, management, registered address, business activities, or other information relevant to their relationship with Auronex.
Communications may take place electronically, including by email, through available online interfaces, or by other methods designated by the Company.
Clients acknowledge that electronic communications may be affected by technical disruptions, delivery delays, or unauthorised interference. Each party shall take reasonable measures to protect information transmitted through such channels.

4. Client Authorisation and Access
Access to restricted Services or account-related facilities is available only to Clients approved by Auronex or the relevant service provider.
Clients may request registration or account access through the Website's contact form or other channels designated by the Company.
Where an online account or authorised access facility is provided, the Client is responsible for maintaining the confidentiality of login credentials and ensuring that only authorised persons use the facility.
Clients must promptly notify Auronex if they suspect:
- Unauthorised access to an account;
- Loss or disclosure of login credentials;

5. Accounts, Balances and Wallets
Where supported under the applicable service arrangements, approved Clients may have access to payment accounts, currency balances, or Digital Asset facilities.
Such facilities may be operated or maintained through third-party Payment Partners and may be subject to separate contractual conditions.
The availability of a particular currency, account feature, or Digital Asset is not guaranteed and may change according to operational, regulatory, or partner requirements.
Any arrangements relating to the receipt, holding, segregation, safeguarding, or return of Client funds shall be determined by the relevant service agreement, applicable legal requirements, and the role of the institution responsible for those funds.
Unless expressly agreed otherwise, funds provided for payment transactions do not constitute deposits with Auronex and do not earn interest.
Digital Asset facilities, where offered, may involve additional technological, settlement, custody, and network-related risks.
6. Transactions
Clients may submit Transaction requests through communication channels or operational interfaces designated by Auronex.
Each Transaction is subject to applicable approval, verification, compliance, and processing requirements.
Auronex may require the Client to provide:
- Beneficiary or counterparty identification;
- Payment amount and currency;
- Bank account or wallet details;
- Payment purpose and commercial justification;
- Supporting invoices, agreements, or other documents;
- Information required by intermediary institutions or applicable legislation.
Auronex may refuse, delay, suspend, or request clarification regarding a Transaction where necessary for legal, regulatory, security, or operational reasons.
6.1. Funding and Receipt of Funds
Where a Service requires the Client to transfer funds, the Company will provide or confirm the applicable payment instructions through an authorised channel.
Clients must use the designated funding method and provide accurate payment references and sender information.
Incoming funds may be subject to screening, verification, bank processing times, or other checks before the corresponding Transaction can proceed.
Auronex may decline funds received from unsupported sources or where adequate information regarding the origin or purpose of the funds has not been provided.
6.2. Transfers and Withdrawals
Payment transfers and withdrawals, where available, are subject to the relevant Service conditions, verification procedures, and applicable limits.
Auronex may require confirmation that the receiving account belongs to the Client or an approved beneficiary.
Additional information may be required before releasing funds, particularly where a Transaction involves higher-risk jurisdictions, unusual activity, or additional compliance concerns.
Processing times depend on the payment route, receiving institution, currency, applicable cut-off times, and any additional checks.
6.3. International Payments
International payments may be processed through SEPA, SWIFT, correspondent banking relationships, or other supported payment channels.
The Client is responsible for providing correct beneficiary details, including applicable IBAN, account number, BIC/SWIFT code, beneficiary name, and payment reference.
Auronex is not responsible for delays, rejections, or additional charges caused by incorrect information provided by the Client or by restrictions imposed by intermediary or receiving institutions, except to the extent that responsibility cannot lawfully be excluded.
Intermediary banks and other financial institutions may apply their own processing fees, exchange rates, and compliance requirements.
6.4. Foreign Currency Exchange
Foreign exchange services are provided for supported currencies and subject to applicable transaction limits and market availability.
Exchange rates may reflect the prevailing market rate, liquidity provider rates, applicable margins, and other agreed charges.
Where a quotation is provided, the applicable rate and its validity period will be determined by the specific Transaction arrangements.
The Client acknowledges that exchange rates may change before a Transaction has been confirmed or executed.
6.5. Digital Asset Transactions
Where virtual currency services are available, Auronex may facilitate the exchange or transfer of supported Digital Assets.
Clients must ensure that the relevant wallet address, blockchain network, currency, and Transaction details are correct.
Blockchain Transactions may be irreversible once transmitted or confirmed on the relevant network.
Auronex may apply enhanced due diligence, wallet screening, counterparty checks, or other controls to Digital Asset Transactions.
Digital Asset Transactions may also be affected by network congestion, blockchain fees, technical failures, market volatility, or restrictions imposed by third-party providers.
6.6. Cancellation and Refunds
Clients should contact Auronex as soon as possible if they wish to cancel, amend, or recall a Transaction.
Cancellation is not guaranteed. Depending on the payment method, settlement stage, or blockchain network, a Transaction may no longer be reversible.
Where a Transaction cannot be completed, Auronex will assess the appropriate return or refund procedure, subject to applicable legal obligations, third-party charges, and the circumstances of the Transaction.
Auronex may require additional information to investigate a duplicate, incorrect, or unauthorised Transaction.
6.7. Unauthorised Transactions
Clients must promptly report suspected unauthorised Transactions.
Auronex may investigate the circumstances, request supporting information, and cooperate with relevant financial institutions or authorities.
Responsibility for an unauthorised Transaction shall be determined in accordance with applicable law, the agreed authentication arrangements, and the circumstances of the case.
7. Transaction History and Records
Auronex maintains Transaction records in accordance with applicable legal and regulatory requirements, including relevant record-keeping obligations under Canadian anti-money laundering and counter-terrorist financing legislation.
Where account statements or transaction histories are available through an online interface or third-party provider, Clients may access the information using the designated channels.
Clients may request information or confirmation relating to completed Transactions, subject to identity verification, record availability, and applicable Fees.
The Company may retain records after termination of the business relationship where required by law.
8. Security of Funds and Transactions
Auronex applies security and compliance measures appropriate to the nature of the Services it provides.
Such measures may include Client verification, transaction screening, access restrictions, internal controls, and the use of third-party financial institutions.
Where Client funds are received, held, or processed through a Payment Partner, the applicable safeguarding or protection arrangements depend on the legal responsibilities and contractual obligations of the relevant institution.
Auronex does not represent that every Transaction will be uninterrupted, free from delay, or unaffected by external banking and payment networks.
Clients are responsible for protecting their own devices, credentials, communication channels, and transaction instructions.
9. Fees and Charges
Clients agree to pay applicable Fees associated with the Services they request or receive.
Fees may include:
- International transfer and payment processing charges;
- Currency conversion charges or exchange margins;
- Digital Asset exchange or transfer fees;
- Third-party bank, payment network, or intermediary charges;
- Other charges expressly disclosed or agreed in connection with a Service.
Applicable pricing may be provided individually, depending on the nature of the Client's business, transaction volumes, currencies, jurisdictions, and Services requested.
Clients may request pricing information through the Website's contact form or another authorised communication channel.
Auronex may revise its Fees from time to time, subject to applicable contractual notice requirements and legal obligations.
Where applicable, Fees may be deducted from the amounts processed or invoiced separately as agreed with the Client.
10. Uncleared Funds and Payments
Certain payment methods may involve a delay between the initiation of a Transaction and the final settlement or clearance of the underlying funds.
Auronex may defer execution or completion of a Transaction until it has received confirmation that the relevant funds are available and cleared.
If an incoming payment is reversed, rejected, disputed, or remains uncleared, the Company may take appropriate steps to reconcile the Transaction or recover amounts due.
Any resulting liability of the Client shall be determined by the relevant transaction arrangements and applicable law.
11. Negative Balances and Outstanding Amounts
Where an account or settlement arrangement permits a negative balance, the Client remains responsible for amounts properly due under the applicable agreement.
A negative balance may arise from payment reversals, returned transfers, outstanding Fees, settlement adjustments, or other agreed charges.
Auronex may request repayment or otherwise pursue recovery of outstanding amounts through lawful means.
Nothing in these Terms creates an entitlement for a Client to obtain credit, overdraft facilities, or financing from Auronex.
12. Restricted and Prohibited Activities
Auronex does not knowingly provide Services for unlawful purposes or Transactions that violate applicable sanctions, anti-money laundering, counter-terrorist financing, or other regulatory requirements.
Services may be restricted in jurisdictions affected by applicable sanctions, international payment limitations, partner restrictions, or elevated compliance risks.
Clients must not use the Services to:
- Conduct or facilitate fraud, money laundering, terrorist financing, or other criminal activity;
- Transfer funds derived from unlawful activities;
- Circumvent sanctions or applicable regulatory restrictions;
- Provide false, misleading, or incomplete information;

- Interfere with the security or functionality of the Website or any related systems;
- Conduct Transactions on behalf of undisclosed third parties without authorisation;
- Engage in activities prohibited by applicable law or the Company's risk and compliance requirements.
Auronex may decline or suspend Services where it reasonably identifies prohibited or unacceptable activity.
The Company may request additional information where necessary to evaluate the Client's activities, counterparties, or Transactions.
13. Client Representations and Warranties
The Client represents and warrants that:
- It is legally established and authorised to conduct its stated business activities.
- Information provided to Auronex is accurate, complete, and not misleading.
- The Client has obtained any licences, registrations, or authorisations required for its own business activities.
- Funds and Digital Assets involved in Transactions originate from lawful sources.
- Transactions requested through Auronex have a legitimate commercial or other permitted purpose.
- The Client will comply with all applicable laws, regulations, and contractual obligations relevant to its use of the Services.
- Persons submitting instructions on behalf of the Client are duly authorised to do so.
The Client agrees to cooperate with reasonable requests for information, verification, or investigation relating to its use of the Services.
14. Suspension and Termination of Services
Auronex may suspend, restrict, or terminate access to any Service where permitted by law or required by contractual, regulatory, security, or operational considerations.
Such circumstances may include:
- Suspected fraud, money laundering, or other unlawful activity;
- Failure to complete identification or verification requirements;
- Materially inaccurate or misleading information;
- Breach of these Terms or a separate service agreement;
- Unauthorised access or suspected compromise of account credentials;
- Restrictions imposed by regulators, financial institutions, or payment networks;
- Failure to provide documentation reasonably required for compliance purposes.
Where appropriate and legally permitted, Auronex may provide notice before termination.
Upon termination, any outstanding Transactions, available funds, unpaid Fees, or other obligations will be addressed in accordance with the applicable service agreement and legal requirements.
Termination does not automatically result in the deletion of records that the Company is required or entitled to retain.
15. Confidentiality and Data Protection
Each party shall treat confidential business information received from the other party with reasonable care and use such information only for legitimate purposes connected with the business relationship.
Auronex may collect, process, store, or disclose personal and corporate information where necessary to:
- Assess and verify Clients;
- Provide or arrange the Services;

Information may be transferred to or processed by service providers located outside Canada, subject to applicable privacy and data protection obligations.
Confidentiality obligations do not prevent disclosures required by law, regulatory obligations, court orders, or lawful requests from competent authorities.
16. Waiver of Rights
A failure or delay by Auronex to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
Any waiver must be expressly communicated and shall apply only to the particular circumstances for which it is given.
The rights and remedies available under these Terms are cumulative and do not exclude other rights or remedies provided by applicable law.
17. Remedies, Indemnification and Liability
Clients are responsible for complying with these Terms and with their legal obligations when using the Services.
To the extent permitted by applicable law, the Client agrees to indemnify Auronex against reasonable losses, claims, damages, and expenses arising directly from the Client's unlawful activity, material breach of these Terms, or fraudulent or intentionally misleading instructions.
Auronex shall not be responsible for failures or delays caused solely by circumstances outside its reasonable control, including disruptions to banking networks, third-party payment systems, telecommunications infrastructure, or blockchain networks.
To the extent permitted by applicable law, Auronex excludes liability for indirect or consequential losses, including loss of anticipated profits or business opportunities.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability arising from fraud, wilful misconduct, or other conduct for which exclusion is prohibited by applicable law.
Any additional limitations of liability applicable to a particular Service shall be established in the relevant service agreement.
18. Dispute Resolution and Governing Law
Auronex and the Client shall make reasonable efforts to resolve disputes arising from the Services through direct communication and good-faith negotiations.
Clients should initially submit complaints or concerns to Auronex using the contact information provided on the Website.
The Company may request Transaction references, supporting documents, and other relevant information to investigate the matter.
Unless otherwise agreed in writing or required by mandatory applicable law, these Terms shall be governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Subject to mandatory jurisdictional rules, disputes that cannot be resolved amicably shall be submitted to the competent courts of Ontario, Canada.
19. Assignment of Rights and Obligations
Neither party may assign its material rights or obligations under an applicable service agreement without the consent of the other party, except as permitted by the relevant agreement or applicable law.
Auronex may assign or transfer rights and obligations in connection with a lawful corporate reorganisation, merger, acquisition, or transfer of business, subject to applicable legal and contractual requirements.
Such assignment or transfer shall not remove any protections or rights that cannot lawfully be waived by the Client.
20. Force Majeure
Neither party shall be liable for a failure or delay in performing contractual obligations to the extent caused by events beyond its reasonable control.
Such events may include natural disasters, war, civil disturbances, government restrictions, sanctions, major network outages, interruptions to financial infrastructure, or other extraordinary circumstances.
The affected party shall take reasonable steps to reduce the impact of the event and resume performance when reasonably possible.
This provision does not excuse payment obligations that became due before the event, except where applicable law provides otherwise.
